These terms govern your use of Strategic Innovations AI products and services.

1. Acceptance of Terms
By accessing or using Strategic Innovations AI's products, services, APIs, documentation, or website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Strategic Innovations AI provides O(1) AI infrastructure products including but not limited to:
NeuroCore: O(1) agent runtime with holographic memory and CBS causal reasoning
HoloDB: Hypervector-based vector database with constant-time operations
Rain Protocol: Stateless O(1) session management
PHANTOM: AI-generated content detection
Catalyst-Q: Virtual quantum circuit simulation
Ghost: AI red-teaming and security testing
Sentinel: AI defense against adversarial attacks
FedHolo: Federated learning with holographic aggregation
Our core technology is protected by patent application CATALYST-2026-001. All Services are provided subject to these Terms and any applicable order forms.
3. Account Terms
Eligibility: You must be at least 16 years old to create an account. By creating an account, you represent that you meet this requirement.
Account creation: You may create an account via our website or API. You agree to provide accurate, current, and complete information.
Account security: You are responsible for maintaining the confidentiality of your account credentials, including API keys. You agree to notify us immediately of any unauthorized use of your account.
One account per entity: Unless otherwise permitted in writing, you may maintain one account per individual or organization.
No email verification required for API access: Our API-first model does not require email verification to begin using the Services. However, we reserve the right to require verification for certain features or at our discretion.
4. Acceptable Use
You agree not to use the Services to:
Violate any applicable law, regulation, or third-party rights
Generate or distribute malware, spam, or other harmful content
Attack, exploit, or compromise systems you do not own without explicit authorization
Use the Services in a way that interferes with, damages, or overburdens our infrastructure
Resell or redistribute the Services without written authorization
Reverse engineer, decompile, or disassemble any part of the Services, except as permitted by applicable law
Use automated tools (bots, scrapers) to harvest content from our platform without authorization
Process PHI without a signed BAA (for HIPAA customers)
Ghost and Sentinel products: These security products are designed for authorized security testing. You may only use them on systems you own or have explicit written authorization to test. Misuse for unauthorized access is strictly prohibited.
AI Agent Use: Autonomous AI agents operating under your account are your responsibility. You are liable for all actions taken by AI agents using your API credentials.
5. API Keys
Ownership: API keys are licensed to you, not sold. Strategic Innovations AI retains ownership of all keys.
Confidentiality: You must keep API keys confidential. Do not share keys in public repositories, client-side code, or unsecured channels.
One-time display: API keys are shown only once at creation. Strategic Innovations AI cannot retrieve or restore plaintext keys. If you lose your key, you must revoke it and create a new one.
Rotation: We recommend rotating API keys every 90 days. You may create multiple keys for different use cases.
Revocation: You may revoke keys at any time via the dashboard or API. We may revoke keys if Terms are violated.
6. Beta Products
Products marked as "beta" are provided as-is for evaluation purposes. Beta products:
May change or be discontinued without notice
Are not covered by SLA guarantees
May have reduced availability or increased latency compared to production products
Are offered at beta pricing (typically free or reduced)
When a beta product reaches general availability ("production" status), we will provide 30 days notice before any pricing or SLA changes take effect.
7. Billing and Payments
Billing platform: All billing is processed by Stripe. Your payment is governed by Stripe's Terms of Service and Privacy Policy.
Free tiers: Free tier usage is provided at our discretion and may be changed or discontinued with 30 days notice.
Pay-as-you-go: Usage beyond free tier limits is billed at the rates published on our pricing page at the time of use.
Founding/early-adopter pricing: Locked in at sign-up for beta participants. Changes to founding-tier pricing require 60 days notice.
Failures: If a payment fails, we will notify you. API keys may be temporarily suspended after 7 days of payment failure. Subscription is cancelled after 30 days of non-payment.
Refunds: Month unused = prorated refund. Annual subscriptions = prorated refund minus a 10% administrative fee. No refunds for API usage already consumed.
Taxes: Prices are exclusive of applicable taxes. You are responsible for all applicable taxes.
8. Intellectual Property
Our IP: Strategic Innovations AI and its licensors own all right, title, and interest in the Services, including the underlying technology (hypervector binding, CBS causal reasoning, HMK serialization, CATALYST-2026-001 patent), software, documentation, trademarks, and trade secrets.
Your IP: You retain all rights to the content you process through the Services ("Customer Data"). We do not claim ownership of your data.
Output ownership: Outputs generated by our Services through your use (e.g., detection results, query results, agent responses) are owned by you. We may use anonymized, aggregated metrics for service improvement.
Restrictions: You may not remove, obscure, or alter our proprietary notices. You may not use our trademarks without written permission.
Patent: The technology underlying the Services is protected by patent application CATALYST-2026-001. Your use of the Services does not grant you any license to this patent.
9. Confidentiality
Mutual obligation: Each party agrees to keep the other party's Confidential Information confidential and not disclose it to third parties, except as permitted in these Terms.
Confidential Information: Includes your API usage data, our proprietary technology, trade secrets, and any information designated as confidential.
Exceptions: Confidential Information does not include information that is publicly available, independently developed, or rightfully received from third parties.
Duration: Confidentiality obligations survive for 5 years after termination of your account.
10. Warranties and Disclaimers
Our warranties: We warrant that (1) the Services will be provided in a professional and workmanlike manner; (2) we have the right to provide the Services; (3) the Services will not infringe third-party intellectual property rights.
No SLA for beta: SLA guarantees (99.9%, 99.99% uptime) apply only to production (non-beta) products on applicable plans.
DISCLAIMER: EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Beta disclaimer: BETA PRODUCTS ARE PROVIDED WITHOUT ANY WARRANTIES. BETA PRODUCTS MAY NOT FUNCTION AS DESCRIBED AND MAY BE DISCONTINUED AT ANY TIME.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Cap: NEITHER PARTY'S TOTAL LIABILITY UNDER THESE TERMS EXCEEDS THE AMOUNTS PAID OR PAYABLE BY YOU TO STRATEGIC INNOVATIONS AI IN THE 12 MONTHS PRECEDING THE CLAIM.
Exclusion of consequential damages: NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Exceptions: The above limitations do not apply to (1) breach of confidentiality obligations; (2) your indemnification obligations; (3) fraud or willful misconduct; (4) violation of our intellectual property rights.
12. Indemnification
You agree to indemnify, defend, and hold harmless Strategic Innovations AI and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Services in violation of these Terms
Your violation of applicable laws or third-party rights
The content you process through the Services
Your AI agents or automated systems operating under your account
13. Termination
By you: You may terminate your account at any time via the dashboard or by contacting support. Termination takes effect immediately.
By us: We may suspend or terminate your account if you breach these Terms, fail to pay, or engage in prohibited activity. We will provide notice where practicable.
Effect of termination: Upon termination, your API keys are revoked and access to the Services ends. Data is retained per our Data Retention policy (see Privacy Policy) unless you request immediate deletion.
Survival: Sections 8 (IP), 9 (Confidentiality), 10 (Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you hereby consent to the personal jurisdiction of those courts.
15. Changes to Terms
We may modify these Terms from time to time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last reviewed" date. For significant changes, we will also send an email to the address associated with your account.
Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and terminate your account.
